Terms and Conditions
North East Bifolds Ltd. Company registration number 10396945. VAT number 248975635, registered address being North Crescent, Cold Hesledon Industrial Estate, Seaham, County Durham. SR7 8RD. Please read these terms and conditions carefully before placing an order with North East Bifolds Ltd.
DEFINITIONS: “We,”, “Our,” and “Us” means North East Bifolds Ltd. “Customer,” “You,” or “Yours” means the person or company who has placed an order with North East Bifolds Ltd.
1. General Terms and Conditions
1.1 ACCEPTANCE: By placing an order for our products or services, you acknowledge that you have read, understood, and agree to the terms and conditions set out in this document.
1.2 MODIFICATIONS: North East Bifolds Ltd reserves the right to modify or update these terms and conditions at any time without prior notice. The revised Agreement will become effective upon posting on our website. It is your responsibility to review the most current version of the Agreement.
2. Products and Services
2.1 DESCRIPTION: North East Bifolds Ltd offers a range of aluminium bifolding doors and related aluminium products. Installation services may be provided by our trained professionals upon request.
2.2 OUR PRODUCTS: Any samples, descriptions and drawings provided by North East Bifolds Ltd are for the sole purpose of giving an approximate idea of the goods and shall not form part of the contract or have any contractual force.
2.3 ACCEPTANCE: You shall be deemed to have accepted the goods within 24 hours of delivery of the goods. After acceptance you shall not be entitled to reject the goods.
2.3 PRODUCT AVAILABILITY: While we strive to ensure product availability, we cannot guarantee the immediate availability of all items. In the event that a product is delayed or unavailable, we will make reasonable efforts to notify you and provide alternative options.
2.4 MEASUREMENTS AND SPECIFICATION: It is your responsibility to provide accurate measurements and specifications for the products or services you require. North East Bifolds Ltd will not be held liable for any inaccuracies resulting from incorrect or incomplete measurements or specifications provided by you.
2.5 INSTALLATION: If you choose to utilize our installation services, North East Bifolds Ltd will perform the work to the best of our abilities. However, we are not responsible for any damage, loss, or delay that may occur during installation, except in cases of negligence or wilful misconduct on our part.
3. Orders and Payment
3.1 PRICING: The prices of our products and services are provided through written quotations. All prices are valid for 30 days and a new quotation will be required after this time. Any additional taxes, duties, or fees imposed by governing authorities shall be your responsibility.
3.2 ORDERS: Placing an order with North East Bifolds Ltd constitutes an offer to purchase our products or services. We reserve the right to accept or reject any order at our sole discretion. Upon placing an order with North East Bifolds Ltd, you agree to be legally bound by these terms and conditions that apply to any related purchase or service.
3.3 PAYMENT: Payment for our products or services must be made in full either at the time of purchase or before delivery/collection/installation of products. Unless otherwise agreed upon in writing. We accept electronic transfers/cash/cheques (subject to cheque clearing). Payment details will be specified in the invoice.
3.4 CANCELLATIONS: Cancellation or modification of an order is subject to our cancellation and refund policy. This can be provided upon request. Refunds, if applicable, will be processed in accordance with our policy.
4. Conditions
4.1 LATE PAYMENT: The customer shall pay to North East Bifolds Ltd interest upon any sum outstanding at the rate of 5% above the Bank of England minimum lending rate from the date that the payment is due until the date of actual payment. A default by the customer is making any payment when due shall be deemed to be a repudiation of the contract by the customer.
4.2 RETENTION: Ownership of the units and materials shall remain with North East Bifolds Ltd until all monies outstanding from the customer have been paid to North East Bifolds Ltd whether under this or any other Contract shall have been settled in full and North East Bifolds Ltd reserves the right to remove any units or materials in the event of any account being unpaid.
5. Warranties
5.1 WARRANTY COVER: North East Bifolds Ltd provides a limited warranty on our products, as specified in the warranty documentation accompanying the product. The warranty covers defects in materials and workmanship under normal use for the specified period. North East Bifolds Ltd offer a 25 year powder coating guarantee provided by the aluminium profile supplier, 5 year guarantee on glass provided by the glass supplier, and 1 year guarantee on moving parts provided by North East Bifolds Ltd.
5.2 GLASS WARRANTY: A 5 year guarantee on glass is provided by the glass supplier and covers glass units against seal failure (condensation). The guarantee excludes glass breakage after delivery. The guarantee covers replacement of failed glass units but does not include installation of the replacement glass units.
5.3 EXCLUSIONS: The warranty does not cover damages resulting from improper installation, misuse, neglect, accidents, alterations, natural disasters, or unauthorized repairs. The warranty is also void if the product is used for purposes other than its intended use or if maintenance guidelines provided by North East Bifolds Ltd are not followed. No claim for general wear and tear will be accepted.
5.4 WARRANTY CLAIMS: All warranty and guarantee claims are valid only if full payment of goods has been made. You must provide proof of purchase and notify North East Bifolds Ltd within the specified warranty period. North East Bifolds Ltd reserves the right to assess the claim and determine whether to repair or replace the product, or provide a refund or credit, at our discretion.
6. Limitations of Liability
6.1 INDIRECT DAMAGES: In no event shall North East Bifolds Ltd be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our products or services, including but not limited to loss of profits, business interruption, inconvenience or delay, loss of data, or loss of business opportunities.
6.2 MAXIMUM LIABILITY: North East Bifolds Ltd maximum aggregate liability to you for any claims relating to our products or services, whether in contract, tort, or otherwise, shall not exceed the total amount paid by you for the specific product or service giving rise to the claim. We will not be liable to you if any monies due to us have not been paid in full.
7. Governing Law and Jurisdiction
7.1 GOVERNING LAW: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where North East Bifolds Ltd is based, without regard to its conflict of laws principles.
7.2 JURISDICTION: Any disputes arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in the jurisdiction where North East Bifolds Ltd is based.
8. Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
9.Entire Agreement
This Agreement constitutes the entire agreement between you and North East Bifolds Ltd concerning the subject matter herein and supersedes all prior or contemporaneous agreements, understandings, or representations, whether written or oral.
By using North East Bifolds Ltd products or services, you agree that you have read, understood, and have agreed to be bound by these Terms and Conditions. If you do not agree with any part of this Agreement, please refrain from using our products or services.
